THE FOLLOWING TERMS OF USE WILL GOVERN YOUR USE OF THE AVANADE’S SMART AI GOVERNANCE ENGINE (“SAIGE”) AND RELATED SERVICES PROVIDED BY AVANADE. BY ACCEPTING THESE TERMS AND USING THE PLATFORM, YOU AGREE TO COMPLY WITH THESE TERMS OF USE. FAILURE TO COMPLY MAY RESULT IN TERMINATION OF YOUR ACCESS AND USE RIGHTS. IF YOU HAVE ANY QUESTIONS, PLEASE CONSULT WITH YOUR ORGANIZATION.

SAIGE is an AI governance platform designed to help you harness the power of technology to digitally manage your AI enablement projects. SAIGE should not be used as a replacement of internal compliance assessments or operational requirements. Instead, it is intended to complement existing governance processes for AI enablement projects within your organization.

1. Authorized Access
   • You may only use SAIGE for internal purposes and on behalf of your employer and/or a business entity that expressly authorized you to use SAIGE (“your organization”), provided that your organization has signed the Software-as-a-Service Terms (“SaaS Agreement”) with Avanade, whose instructions, benefit and behalf you have chosen to use SAIGE. Your access to SAIGE is subject to these Terms of Use and the terms and conditions of the SaaS Agreement signed by your organization. You should consult with your organization to learn more about your usage rights and limitations.
   • You are responsible for keeping your access credentials associated with SAIGE confidential. You must not transfer them to any other person. You are responsible and liable for all uses of SAIGE resulting from access provided to you, directly or indirectly, whether such access or use is permitted by or in violation of these Terms of Use.
   • Avanade reserves the right to modify these Terms of Use from time to time. You are responsible for reviewing and becoming familiar with any such modifications. Your continued use of SAIGE after the effective date of the modifications will be deemed acceptance of the modified terms. At our sole discretion, we may require your acceptance of any updated versions of these Terms of Use, as a condition to continue your access.
   • SAIGE may offer access to information published by AI model providers, through its Public Registry or in other features. For any inquiries about such information, you must contact the AI model providers directly. Avanade is not responsible for its accuracy nor liable for any such content, and reserves the right to remove such information from the Public Registry in its sole discretion.
2. Permitted Use
   • SAIGE may be used to:
     • Register and track your AI algorithms: Utilize a digitized and automated workflow to register new algorithms, and monitor their lifecycle.
     • Maintain your AI inventory: Centralize your AI inventory with access to all relevant metrics and ongoing reporting
     • Standardize and scale governance: Establish a tailored governance framework, leverage SAIGE’s built in methodology, or tailor the experience to align to your organization’s requirements using built in customization capabilities.
     • Store specified types of data: Store AI algorithm metadata and corresponding documentation that is required to effectively govern algorithms.
   • SAIGE must NOT be used to:
     • Upload and/or Manage protected health information (PHI) or electronic protected health information (ePHI): Users are not allowed to upload and/or manage any PHI/ePHI within the platform.
     • Store or run AI models: SAIGE is not intended to store or execute AI models; it is designed to support governance and tracking.
     • Store unspecified types of data, including model training data: SAIGE does not store training data.
     • Replace internal compliance or operational requirements: SAIGE is intended to complement your existing internal processes and requirements, not replace them.
     • Perform legal and regulatory assessments and compliance verifications: SAIGE should not be used to assess nor identify risks under legal and regulatory requirements that may apply to your AI projects.
     • Provide medical advice or patient output: SAIGE should not be used to generate medical advice, clinical decision support or patient output.
     • Guarantee AI model performance: SAIGE does not guarantee the performance or outcomes of any AI models.
     • Eliminate human oversight: Human oversight by your organization is still required to enable the responsible use of your AI projects.
     • Automate all governance processes: While SAIGE can automate workflows, some governance processes may still require manual intervention by your organization.
     • Address risks associated with your AI projects: SAIGE cannot identify and address risks, such as bias, that may exist with your AI models.
     • Guarantee data security: SAIGE enhances governance but does not store or process any data utilized to train or to be processed by your AI models.
3. Access Use Policy

   Users shall not: (i) access or use SAIGE to host or transmit any content, data or information that violates any applicable domestic or foreign laws or regulations or which infringes any third party’s rights, such as Intellectual Property Rights or right of privacy, or which otherwise violates any applicable laws; (ii) copy, translate, make derivative works, disassemble, decompile, reverse engineer or otherwise attempt to discover the source code or underlying ideas or algorithms embodied in the software applications or other systems used for the provision of SAIGE (including the IaaS), unless expressly permitted under any applicable laws, or remove any titles or trademarks, copyrights or restricted rights notices in the systems, software and other materials used in the provision of SAIGE; (iii) access or use the SAIGE for the purpose of building  competitive products or services by copying its features or user interface or by allowing a direct competitor of Avanade to access or use SAIGE; (iv) distributing, sending or facilitating the sending of viruses, disabling code, and/or logic bombs, email bombs, worms, trojan horses and any other type of disruptive, destructive or nuisance programs; or (v) using SAIGE to violate the security or integrity of any network, computer or communications system, software application, or network or computing device. 

4. Intellectual Property Ownership; Feedback.

   As between you and Avanade, (a) Avanade own’s all right, title, and interest, including all intellectual property rights, in and to SAIGE and related SaaS services, and (b) if you send or transmit any communications or materials to Avanade by mail, email, telephone, or otherwise, suggesting or recommending changes to SAIGE and related SaaS services, including without limitation, new features or functionality relating thereto, or any comments, questions, suggestions, or the like ("Feedback"), we are free to use such Feedback. All Feedback is and will be treated as non-confidential. You hereby assign to Avanade all right, title, and interest in, and we are free to use, without any attribution or compensation to you or any third party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although we are not required to use any Feedback.

5. User Data.

   Your organization will provide Avanade with your personal information necessary to provide you with access into SAIGE and allow you to use SAIGE. Avanade will process your personal information on behalf of your organization in accordance with SAIGE Privacy statement so please read it and check your organization’s privacy statement before using SAIGE. Avanade may automatically collect, also through strictly necessary cookies, and use limited technical information and usage data to ensure the security and functioning of SAIGE in accordance with Avanade’s Privacy Policy and Cookie Policy.

6. Termination.

   Avanade may terminate your access to SAIGE immediately if you breach these Terms of Use. Upon termination, your right to access and use SAIGE will immediately cease. You must destroy all copies of any Confidential Information in your possession.
